Terms and Conditions

1. Acceptance of Terms

By accessing and using ExecX, you accept and agree to be bound by the terms and provision of this agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.

2. Definitions

• "Service" means the ExecX software as a service.
• "Customer" means the entity that has subscribed to the Service.
• "Agreement" means these terms and conditions, any applicable order forms, and any other incorporated documents.

3. Scope of Service

The Customer is granted a non-exclusive, non-transferable right to access and use the Service in accordance with this Agreement. Permission is granted to download unlimited copies of ExecX per license for personal or commercial use. On termination of the Agreement the Customer agrees to immediately cease use of the Service.

4. Fees and Payment

The Customer will pay the fees as set forth in the applicable order form. Payments are due monthly starting from the date of the subscription, all users are granted an initial 30 day trial period.

5. Customer Obligations

• The Customer is responsible for maintaining the security of its login credentials. Sharing of API keys is not permitted except within the organisation named on the subscription.
• The Customer will not use the Service for any unlawful or unauthorised purpose.
• The Customer will not attempt to reverse engineer, decompile or disassemble the Service.

6. Intellectual Property

The Service and all related intellectual property rights are owned by ExecX. The Customer is granted a limited license to use the Service.

7. Termination

ExecX may terminate this Agreement for cause upon detecting any breach of these terms and conditions. The Customer may terminate this Agreement for convenience at any time, please notify us in advance of termination. The contract will be terminated at the end of the current billing period (monthly).

8. Limitation of Liability

Neither party shall be liable for any indirect, incidental, special or consequential damages arising out of or in connection with this Agreement. ExecX will not be liable for any trading losses that occur as part of using the Service. Using our Service entails a high level of investment risk. Orders you place with the Service are at your own risk and expense. If in doubt please seek professional financial advice.

9. Privacy and Data

ExecX operates on a privacy-first principle. We do not collect, store or transmit any user trading data. All operations are performed locally on your machine. We only verify API keys for authentication purposes.

10. Revisions and Errata

The materials appearing in ExecX could include technical, typographical or photographic errors. ExecX does not warrant that any of the materials are accurate, complete or current. ExecX may make changes to the materials at any time without notice.
