By signing up for an account, either on a trial period or as a paid subscriber you are agreeing to the following terms and conditions.
1. Definitions
- "Service" means the EXECX software as a service.
- "Customer" means the entity that has subscribed to the Service.
- "Agreement" means these terms and conditions, any applicable order forms, and any other incorporated documents.
2. Scope of Service
- The Customer is granted a non-exclusive, non-transferable right to access and use the Service in accordance with this Agreement.
3. Fees and Payment
- The Customer will pay the fees as set forth in the applicable order form.
- Payments are due monthly starting from the date of the subscription, all users are granted an initial 30 day trial period.
4. Customer Obligations
- The Customer is responsible for maintaining the security of its login credentials. Sharing of API keys is not permitted except within the organisation named on the subscription.
- The Customer will not use the Service for any unlawful or unauthorized purpose.
- The Customer will not attempt to reverse engineer, decompile, or disassemble the Service.
5. Intellectual Property
- The Service and all related intellectual property rights are owned by EXECX.
- The Customer is granted a limited license to use the Service.
6. Termination
- EXECX may terminate this Agreement for cause upon detecting any breach of these terms and conditions.
- The Customer may terminate this Agreement for convenience at any time, please notify us in advance of termination. The contract will be terminated at the end of the current billing period (monthly).
7. Limitation of Liability
- Neither party shall be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with this Agreement.
- EXECX will not be liable for any trading losses that occur as part of using the Service. Using our Service entails a high level of investment risk. Orders you place with the Service are at your own risk and expense.
8. Governing Law
- This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom.
9. Entire Agreement
- This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous communications, representations, or agreements, whether oral or written.
10. Amendments
- This agreement can be amended at any time, any amendments will be communicated to all parties.
